Runza Affiliate Agreement

On approval we issue you a unique referral code and a link. You may share them anywhere this agreement permits (§5).

Anyone who enters your code at checkout receives 15% off their first 3 months of a paid Runza plan. That discount is only available to customers who have never previously paid for Runza.

You earn 30% of the amount each referred customer actually pays us, on every invoice they pay for 12 months starting from their first paid invoice. “Actually pays” means net of the referral discount, any other credit, and any refund — not list price.

Your rate is fixed at the figure in force when you were approved and is recorded against your account. If we change what we offer new affiliates, your rate does not change.

While you are an approved affiliate we also give you Runza Pro, free at no charge. It is granted when you are approved and ends if you stop being an affiliate. It has no cash value, it is not part of your commission, and if you are already paying for a Runza plan we leave that subscription alone rather than replacing it.

A referral counts only if your code is entered at checkout. The code recorded on the customer’s subscription is the sole record of attribution. We do not attribute referrals by cookie, by click history, by IP address, by the customer saying you sent them, or by your own records.

If a customer forgets to enter your code, no commission is earned on that customer — including later, and including if they tell us afterwards. We may correct an attribution at our sole discretion if we believe a technical fault on our side prevented a code from applying, but we are not obliged to.

Tell the people you refer to enter the code. The 15% discount exists to make that worth their while.

Commission is earned only on new paying customers. Specifically, no commission is earned on:

• Yourself, any account you control, or a member of your household.
• Anyone who already has or has ever had a paid Runza subscription, including via cancel-and-resubscribe.
• Any account we determine was created to generate commission rather than to use Runza.
• Free accounts, trials that never convert, and invoices that are never paid.

Commission accrues when the customer’s invoice is paid, and is held for 30 days before it becomes payable, so refunds and chargebacks can be accounted for. Refunded or charged-back invoices are reversed out of your balance.

We pay out monthly, in US dollars, once your payable balance is at least $50. Balances below that roll forward. You tell us where to send it; you are responsible for the accuracy of those details and for any fees your payment provider charges.

You are an independent contractor, not an employee, agent, partner, or joint venturer. You are responsible for your own taxes. If you are a US person and we pay you $600 or more in a calendar year, we will issue a Form 1099 and you must provide a valid tax ID and W-9 first — we may withhold payment until we have one.

You must:

• Disclose clearly that you earn a commission, wherever you promote us. US law (the FTC Endorsement Guides) requires this, and it is your responsibility, not ours.
• Describe Runza accurately, and only claim things Runza actually does.
• Make clear you are not Runza and cannot speak or contract for us.

You must not:

• Send unsolicited bulk email, SMS, or messages of any kind. Every list you promote to must be one that opted in to hear from you.
• Bid on “Runza” or confusable variants in paid search, or run ads that appear to originate from us.
• Register domains, social handles, or app names containing “Runza”.
• Use our name or logo in a way that implies partnership, endorsement, or employment.
• Post your code to coupon, cashback, or deal-aggregator sites, or offer cash back from your commission.
• Promote Runza on sites containing illegal, hateful, or adult content.
• Make earnings claims on our behalf, or promise features, prices, or timelines we haven’t announced.

We grant you a limited, revocable, non-exclusive license to use the Runza name and logo solely to promote Runza under this agreement, and only in unmodified form. That license ends the moment this agreement does. You gain no other rights in our brand.

Either of us may end this agreement at any time, for any reason, with notice by email. You may stop whenever you like.

If we end it for convenience, we pay you commission already accrued under §4. If we end it because you breached §3 or §5 — fraud, self-referral, spam, or brand misuse — we may withhold and reverse unpaid commission connected to that conduct, and deactivate your code immediately.

On termination, stop using your code and our brand, and remove your affiliate links.

We may change these terms, the commission rate, the discount, or the program itself. We’ll email you at least 30 days before a change that reduces your commission rate or shortens the earning period, and it will not apply to commission already accrued. Continuing to promote Runza after a change takes effect means you accept it.

Runza is provided “as is” and we make no promise that any particular level of referrals, conversion, or earnings is achievable. Any figures on our affiliate page are illustrations, not projections or guarantees.

To the maximum extent the law allows, our total liability to you under this agreement is limited to the commission payable to you in the three months before the claim, and neither of us is liable to the other for indirect or consequential loss. You agree to cover us for claims arising from how you promoted Runza — in particular claims about your marketing, your disclosures, or your lists.

This agreement is governed by the laws of the State of Utah, USA, and the courts of Utah have exclusive jurisdiction. Nothing here creates an exclusive relationship: we may run other programs and offers, including ones better than this.
